Terms of Service

1. Acceptance of Terms

By accessing or using Gueaux Studio ("Studio", "Service", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and Gueaux Studio.

2. Description of Service

Gueaux Studio is a mobile-first AI-powered video creation platform that enables users to record, produce, and publish short-form video content through a guided AI conversation experience. The Service includes:

  • AI-guided video recording sessions hosted by AI avatars
  • Automated video editing, color correction, and music overlay via third-party APIs
  • AI-powered extraction of video metadata from session transcripts
  • Video storage, hosting, and delivery infrastructure
  • Optional integration with the Gueaux platform for publishing

The Service is operated by Gueaux Studio, based in Mississippi, United States.

3. Eligibility

You must be at least 18 years of age to use this Service. By using Gueaux Studio, you represent and warrant that you are 18 years of age or older. The Service is not directed at or intended for use by minors. If you are under 18, do not use this Service.

4. Account Registration

To access certain features of the Service, you may be required to create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that contain inaccurate information or violate these Terms.

5. Subscription Plans and Billing

5.1 Plan Tiers

Gueaux Studio offers the following subscription tiers:

  • Creator — $39 per month — 12 AI-edited video sessions
  • Pro — $99 per month — 20 AI-edited video sessions
  • Studio+ — $249 per month — 60 AI-edited video sessions
  • Enterprise — Custom pricing — Contact us for inquiry

5.2 Annual Billing

Annual subscriptions are available at a discounted rate equivalent to 10 months of the monthly price. Annual plans are billed upfront for the full year. Annual rates: Creator $390/yr, Pro $990/yr, Studio+ $2,490/yr.

5.3 Overage Charges

If you exceed your plan's included session limit in a given billing month, additional AI-edited sessions are billed at $4.00 per session. Overage charges are billed at the end of your billing cycle. You will receive a notification when you approach your plan limit.

5.4 Session Rollover

Unused sessions may roll over to the following month, up to a maximum of one additional month's worth of sessions. Rolled-over sessions expire at the end of the following billing period and cannot be accumulated beyond this limit.

5.5 Payment Processing

All subscription payments are processed by Stripe, Inc. By subscribing, you authorize us to charge your payment method on a recurring basis. You agree to Stripe's terms of service in addition to these Terms.

5.6 Failed Payments

If a payment fails, we will attempt to retry the charge. If payment cannot be collected after reasonable retry attempts, your account may be downgraded or suspended until payment is resolved. You will be notified of failed payments via the email address associated with your account.

6. Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at gueauxstudio@gueaux.com. Cancellation takes effect at the end of your current billing period. You will retain access to the Service through the end of the paid period. We do not provide prorated refunds for partial billing periods on monthly plans.

7. Refund Policy

Monthly subscriptions are non-refundable once the billing period has begun. Annual subscriptions may be eligible for a prorated refund within 14 days of the annual renewal date if no sessions have been used in the new billing year. Overage charges are non-refundable. We reserve the right to issue refunds at our sole discretion in cases of documented service failure attributable to Gueaux Studio.

8. Intellectual Property and Content Ownership

8.1 Your Content

You retain full ownership of all video recordings, audio, and spoken content you create using the Service ("Your Content"). Gueaux Studio claims no ownership over Your Content.

8.2 License to Process

By using the Service, you grant Gueaux Studio a limited, non-exclusive, royalty-free license to process, store, transmit, and display Your Content solely for the purpose of providing the Service to you. This license terminates when you delete your content or close your account.

8.3 Third-Party Processing

Your video content and session transcripts are processed by third-party service providers including Tavus (AI avatar rendering), Mux (video encoding and hosting), Shotstack (video editing and rendering), and Google Gemini (transcript analysis). By using the Service, you consent to this processing. Each provider's privacy practices govern their handling of your data.

8.4 Our Intellectual Property

The Service, including its interface, design, software, AI systems, and underlying technology, is owned by Gueaux Studio and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our Service without express written permission.

9. AI-Generated Content Disclaimer

The AI hosts (including "Nova", "Maya", "Jordan", and "Sage") are artificial intelligence avatars, not human beings. Conversations conducted during recording sessions are AI-generated responses. Gueaux Studio makes no representations that the AI hosts' questions, responses, or suggestions constitute professional advice of any kind. Video metadata extracted from your session transcript is generated by AI and may contain errors — you are responsible for reviewing and correcting all extracted information before publishing.

10. Acceptable Use

You agree not to use the Service to:

  • Record, produce, or publish content that is defamatory, harassing, threatening, or abusive
  • Record content that infringes any third party's intellectual property rights
  • Impersonate any person or entity
  • Record content involving minors in any inappropriate context
  • Attempt to reverse engineer, decompile, or extract source code from the Service
  • Use automated tools to access the Service in an unauthorized manner
  • Resell or sublicense the Service without our written consent
  • Use the Service for any unlawful purpose

We reserve the right to suspend or terminate accounts that violate these acceptable use standards without prior notice.

11. Service Availability

We strive to maintain reliable service availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any loss or damages resulting from service interruptions. Planned maintenance will be communicated in advance where reasonably possible.

12. Third-Party Services

The Service integrates with and depends upon third-party services including Tavus, Mux, Shotstack, Google Gemini, Stripe, and Supabase. We are not responsible for the availability, accuracy, or performance of these third-party services. Your use of third-party services is governed by their respective terms of service and privacy policies.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GUEAUX STUDIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE THREE MONTHS PRECEDING THE CLAIM.

15. Indemnification

You agree to indemnify, defend, and hold harmless Gueaux Studio and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising from your use of the Service, your violation of these Terms, or your violation of any third party's rights.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Mississippi, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in Mississippi, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction for matters involving intellectual property or unauthorized access to the Service.

17. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by email or through the Service. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service.
